1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Vendra AI ("Vendra," "we," "us," or "our") regarding your use of the Vendra AI platform and services.
By accessing or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the service.
2. Description of Services
Vendra AI provides an AI-powered voice and communication agent platform that includes:
- AI voice agents for inbound and outbound calls
- Multi-channel communication (WhatsApp, SMS, email, web chat)
- Calendar and appointment scheduling integration
- CRM and business tool integrations
- Call recording, transcription, and analytics
- Custom script and knowledge base training
3. Account Registration
To use our services, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Be at least 18 years old or have legal authority to bind your organization
- Accept responsibility for all activities under your account
4. Acceptable Use Policy
You agree NOT to use our services to:
- Violate any applicable laws or regulations
- Send spam, unsolicited messages, or make harassing calls
- Impersonate others or misrepresent your identity
- Transmit malware, viruses, or malicious code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt service operations
- Violate telecommunications regulations (TCPA, GDPR, etc.)
- Engage in fraudulent or deceptive practices
5. Payment Terms
- Subscription fees are billed monthly or annually in advance
- Usage-based fees (call minutes, SMS) are billed monthly in arrears
- All fees are non-refundable unless otherwise stated
- We may change pricing with 30 days notice
- Failure to pay may result in service suspension
- You are responsible for all applicable taxes
6. Intellectual Property
Vendra AI retains all rights to our platform, technology, and AI models. You retain ownership of your content (scripts, documents, customer data).
By uploading content, you grant us a limited license to use it solely to provide our services to you.
7. Data Protection
Your use of our services is also governed by our Privacy Policy. We are committed to protecting your data in accordance with GDPR, CCPA, and other applicable data protection laws.
8. Limitation of Liability
OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDRA AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Vendra AI from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of third-party rights.
10. Termination
Either party may terminate this agreement:
- With 30 days written notice for convenience
- Immediately for material breach
- Immediately if the other party becomes insolvent
Upon termination, your access will be revoked and data will be handled according to our data retention policy.
11. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of Italy. Any disputes shall be resolved in the courts of Lucca, Italy, unless otherwise required by consumer protection laws.
